The following Terms and Conditions (“Terms”), the Privacy Policy (“Policy”) and all other rules and procedures (collectively, the “Terms of Use”) posted on the Green Rep Exchange Site (the “Site”) govern your access to and use of the Site and any other applications, content, products, plans/programs/packages and services (collectively, the “Services”), including, without limitation, the purchase of a Membership Subscription to utilize the Services (“Membership(s)” or “Membership Subscription(s)”), made available by Green Rep Exchange (“GREx”), and/or its representatives, affiliates, officers, and directors (collectively, “GREx” or “we”) through the Site.
PLEASE READ THESE TERMS CAREFULLY AS THEY CONSTITUTE A LEGAL BINDING AGREEMENT BETWEEN YOU AND GREX. By accessing, browsing, downloading and/or using this Site, you accept and acknowledge that you have read, understood, and agree, to be bound by these Terms, the Policy and all other rules and procedures relating to the Site and your use thereof that GREx may provide you from time to time. If you do not agree to these Terms of Use, you may not access or use the Services or the Site.
This Site is controlled and operated by GREx from its offices within the United States. GREx makes no representation that materials in this Site are appropriate or available for use in other locations, and access to them from territories where their contents are illegal is prohibited. Those who choose to access this Site from other locations do so on their own initiative and are responsible for compliance with their applicable local laws.
The Site is not targeted towards, nor intended for use by, anyone under the age of 16. By using the Site, you represent and warrant that you are 16 years of age or older. If you are not at least 16 years of age, do not access, use or register for an account on the Site. In addition, you may not make a purchase from our Site unless you are at least 18 years of age. You also represent and warrant that you (a) have not previously been suspended or removed from the Site; and (b) that you have full power and authority to agree to the Terms and in doing so will not violate any other agreement to which you are a party.
1. MODIFICATIONS TO TERMS AND CONDITIONS
We reserve the right, at our sole discretion, to change, modify or otherwise alter these Terms and Conditions at any time by posting a notice on the Site or by other means of electronic communication. Such modifications shall become effective immediately upon the posting thereof and will supersede all previous versions, and your use or continued use of the Services will constitute your acceptance of and willingness to be bound by such version of these Terms. You must review this agreement on a regular basis to keep yourself apprised of any changes. 2. RESTRICTIONS
You represent, warrant and covenant that: (a) you shall not upload, post or transmit to or distribute or otherwise publish through the GREx Site any materials which (i) restrict or inhibit any other user from using and enjoying the GREx Site, (ii) are unlawful, threatening, abusive, libelous, defamatory, obscene, scandalous, vulgar, offensive, pornographic, profane, sexually explicit or indecent, (iii) constitute or encourage conduct that would constitute a criminal offense, give rise to civil or criminal liability or otherwise violate law, (iv) violate, plagiarize or infringe the rights of third parties including, without limitation, copyright, trademark, patent, rights of privacy or publicity or any other proprietary right, (v) contain a virus or other harmful component, (vi) contain any information, software or other material of a commercial nature, (vii) contain advertising of any kind, or (viii) constitute or contain false or misleading indications of origin or statements of fact; (ix) your Site username and password are for your use only and are not to be shared with others; and (b) that you are at least eighteen (18) years old.

3. INFORMATION EXCHANGE
As part of your use of this Site, GREx may obtain certain information about you which we will hold in confidence according to these Terms and Conditions and our Privacy Policy. By using information you submit when you visit this Site, GREx, may send you emails or other communications on various topics such as news related to organic standards, information on specific products, and information about our company.
GREx enables visitors to the Site to post reviews, comments, and other content to the Site. Any material, information, or idea you transmit to or post on this Site by any means will be treated as non-confidential and non-proprietary and may be disseminated or used by GREx or its affiliates for any purpose whatsoever, including, but not limited to the development of sales and marketing products. GREx has no obligation with respect to such material, information or ideas, and you agree to hold GREx and its affiliates, subsidiaries, their directors, officers, employees, agents or representatives or GREx’s suppliers harmless for any use of same by any entity or person.
GREx does not represent or endorse the accuracy or reliability of any advice, opinion, statement, or other information displayed or distributed through the GREx Site. You acknowledge that any reliance upon any such opinion, advice, statement, memorandum, or information shall be at your sole risk. GREx reserves the right, in its sole discretion, to correct any errors or omissions in any portion of the GREx Site.
GREx does not and cannot review, and has no obligation to monitor, all materials posted to GREx Site by users, and GREx is not responsible for any such materials posted by users.
GREx reserves the right at all times: to disclose any information as necessary to satisfy any law, regulation, court order, or government request; or to edit, refuse to post or to remove any information or materials, in whole or in part, that in GREx’s sole discretion are objectionable or in violation of these Terms.
4. MEMBERSHIPS, PLANS AND BILLING
a) Membership Subscription
GREx offers several Membership Subscriptions (“Membership(s)” or “Membership Subscription(s)”) to utilize the Services offered on GREx, that may vary from time to time at the sole discretion of GREx, including special promotions with variable pricing and durations, and bundled products and services (collectively, each a “Plan”). A given Plan may not be available for your Memberships at any given time, and GREx is under no obligation to offer you the same Plan offered or subscribed to another GREx customer. GREx reserves the right to modify, terminate or otherwise amend offered Plans. If a promotional Plan is made available to you during your free trial and you elect to upgrade to such a promotional Plan, you acknowledge that your free trial will terminate immediately upon submission of payment in respect of such a promotional Plan. To the extent third-party products and/or services are bundled with a Plan, GREx explicitly disclaims any and all responsibility and liability with respect to such third-party products and services.
Membership prices as stated on the Green Rep Exchange Site at the time of purchase of any Membership Subscription remains locked in as long as Memberships is kept current. Contact our customer support department at info@onestopnatural.com if you need assistance in updating or making a change to your Membership Subscription.
Membership Subscriptions will continue and renew automatically unless terminated by GREx or until you notify GREx of your decision to change your Membership. If there are any annual, monthly, or similar periodic fees or set-up fees for your Membership, these fees will be billed automatically to the payment method designated during the registration process on onestopnatural.com, or subsequently designated to Green Rep Exchange at the start of the Membership period and at the start of each renewal period, unless you terminate your Membership before the relevant period begins.
b) Billing
Upon selecting an available Plan and registering for your Membership, your payment method will be charged an automatic recurring monthly, quarterly or yearly subscription fee applicable to your selected Plan, any applicable tax and any other charges you may incur in connection with your use of the Services (collectively, and as modified from time to time in the sole discretion of GREx, the “Subscription Fee”). The Subscription Fee is charged on the monthly, quarterly or annual anniversary of the commencement of your Membership (or, if such date does not occur in a given month, the last day of the applicable month) automatically and without notice to you, unless and until either you cancel or GREx terminates your Membership. You must cancel your Membership prior to the end of the then-current billing period to avoid being charged for the following billing period, and such amounts shall accrue regardless of the validity of your payment method.
GREx reserves the right to modify any Memberships, Services, Plans, Subscription Fees, Setup Fees and any other fees and charges in effect, or add new fees and charges from time to time; provided that GREx will give you advance notice of these changes by email or as a notification when you log into the GREx Site. You are responsible for all taxes associated with your use of the services and products purchased in connection therewith.
As a condition to your right to use any of the GREx Services, it is your responsibility to maintain a current payment method (such as but not limited to a credit card, PayPal, etc.) on file with available credit sufficient to pay the applicable Memberships, Services, Plans, Subscription Fees, Setup Fees and any other fees and charges. In the event that you cancel your payment method, or it is otherwise terminated, you must immediately provide a new valid payment method. In the event that you do not provide a current payment method with sufficient credit upon request during the effective period of this Agreement, you will be in violation of this Agreement, and GREx may terminate this Agreement with you.
If any charge to your payment method fails (expires or declines), then (a) GREx may attempt to contact you by either email or phone, to obtain updated account information, (b) you grant GREx the right to re-attempt to process and bill your payment method for up to 60 days, and (c) you will be responsible to pay all fees and expenses (including collections fees) incurred by GREx in connection with obtaining payment in full for all accrued but unpaid amounts.
GREx may suspend or terminate your Membership and/or your GREx account at any time without notice in connection with non-payment of Subscription Fees or any other fees and charges due to GREx.
c) Membership Refunds
All paid Membership Subscriptions, set-up fees and any other fees and charges that are purchased to utilize the Services on Green Rep Exchange are all prepaid and are non-refundable. All sales are final as the digital nature of the services and allocated resources make them non-returnable.
Green Rep Exchange does not provide refunds or credits for any partial-month, partial-quarter or partial year paid Membership subscription periods.
5. PRODUCT SALES & SERVICES
a) Product and Venue Disclaimers
The Services and/or Plans that include a venue or marketplace to connect you and other retailers with suppliers of wholesale and bulk products (each, a “Supplier”). Although each Supplier is an authorized distributor of the products it sells and is authorized to use the Services to market and sell such products, GREx does not represent and explicitly disclaims, that any particular product is suitable for resale by you or anyone else in any given circumstance or jurisdiction.
You are solely responsible to ascertain a particular product’s (a) suitability for resale under your particular circumstances, no matter the resale venue you use (which may include but not limited to “brick & mortar” stores, an online webstore, channel sellers platforms, etc.), (b) lawfulness in the jurisdiction in which you desire to resell such product, (c) manufacturer terms and conditions (including, without limitation, applicable warranties and limitations on liability), and (d) applicable manufacturer policies or minimum advertised price restrictions.
In addition, GREx may in its discretion, at any time and for any or no reason, remove any product from the Services and/or Plans without notice to you or to the applicable Supplier(s).
b) Contacting Suppliers
GREx will provide you with certain identifying information about Suppliers, including a Supplier’s trade name and brand(s), and may provide appropriate methods of contacting a Supplier from within the Services. Notwithstanding the foregoing, GREx’s agreement with a Supplier may restrict GREx from allowing you to contact such Supplier directly. In such cases, GREx will take reasonable steps to acquire requested information from a Supplier on your behalf.
Regardless of whether you are permitted to contact a Supplier, and in GREx’s sole discretion, your account may be suspended or terminated if you or anyone on your behalf, contacts or attempts to contact a Supplier outside of the tools provided in the Services, if any, and/or attempts to establish a direct relationship with a Suppliers outside of the Services.
c) Product Pricing
GREx reserves the right to modify and adjust product prices at any time, and from time to time without notice or liability, including, without limitation, to correct pricing and typographical errors. You acknowledge that product prices fluctuate as a result of Supplier pricing changes and that GREx has no control over any Supplier’s pricing, shipping and handling charge policies, and other charges and fees, which may result in continual and unpredictable product price changes at any time.
d) Product Descriptions and Specifications
You acknowledge that all product specifications and descriptions are provided solely by Suppliers and that GREx is not responsible for the accuracy of all such information provided by Suppliers. GREx makes no warranty, expressed or implied, with respect to the accuracy of such information. In addition, due to size, the volume of requests and resource constraints, “Data Exports” may not be current at all times and may be delayed or contain data that is older than what is displayed on GREx’s Site.
Supplier products and manufacturer names are listed for identification purposes only and in no way represent an endorsement of the applicable Supplier by such manufacturer. It is your responsibility to ensure that a product’s information is correct, authentic and aligns with the manufacturer’s official description and specifications. You further agree to promptly report to GREx any incorrect and/or fraudulent product listings and identify the allegedly incorrect or fraudulent elements of such listing.
e) Product Orders, Changes and Returns
When purchasing any product from a Supplier using the Services, you agree that you are responsible for reading the entire product listing and, by completing the product order process, entering into a binding contract to purchase such product from such Supplier. GREx is not responsible for losses or damages you may incur as a result of erroneous or misplaced product orders or typographical errors connected to any purchase or shipping information that you provide via the Services. It is your sole responsibility to verify the accuracy of each product order, including the actual item, pricing, shipping and/or handling costs and any other applicable terms prior to submitting an order. The foregoing applies universally regardless of the method of order placement (e.g., single orders, batch orders, APIs).
Generally, once an order is placed, it cannot be modified or canceled. However, under certain circumstances and in the discretion of GREx and, if applicable, the Supplier, certain orders may be modified or canceled, provided that you email Customer Support at info@greenrepexchange.com immediately with a change or cancellation request (this is not a guarantee that it can be changed or cancelled). GREx is not responsible for any losses or damages you may incur as a result of any approved or denied order modification/change or cancellation request.
f) Shipping and Handling
Green Rep Exchange currently ships all orders within the United States. All orders must have a valued residential or business shipping address. Individual Suppliers may have additional shipping restrictions.
You are responsible in paying the shipping and handling charges for all products purchased through the Services on Green Rep Exchange, even if you refuse or return a shipment.
Regardless, if product specifications on Green Rep Exchange website provide published shipping weights, such weights are for informational purposes ONLY and are not to be used for estimating or calculating shipping costs. Final shipping costs will be calculated at the checkout.
As soon as you add products to your shopping cart, proceed to checkout and pay for your order via the available payment methods (major credit card, PayPal, etc.), you will receive confirmation of your order. Once an order is placed, it cannot be modified or canceled.
Depending on the size of the order, the processing time, estimated delivery times, the carrier, shipping method and shipping location, all or some will vary by Supplier.
Orders may be shipped either by UPS, USPS, FedEx, DHL, etc. or Freight. Estimated times could take 1 – 2 days to process, and 3 – 8 business days to ship depending on your location. You will receive a shipping confirmation email once the order is shipped.
Shipping policies and charges vary by Supplier.
g) Product Returns
• Return and refund applications needs to be filed within 3 days from the delivered date.
• We do not accept any non-defective remorse returns.
• If the item was delivered damaged or defective, you do not need to return them.
• We do not offer warranties to retailers.
• A 15% restocking fee will apply for all refused/returned orders.
We recommend checking the product description, packaging, and reviews of an item before purchasing.
h) Product Refunds
• Any order discrepancies such as missing an item or receive an item that is damaged, defective or incorrect must be reported to us within 3 days from the delivered date to info@onestopnatural.com. The email needs to include an invoice#, order#, and the SKU# or UPC# of the items received in error, as well as photos of the item and packaging.
• Delayed in transit/ No tracking info. – For delays in tracking updating, the customer needs to contact the shipping carrier. If shipping carrier is unable to find the package for delivery, then notify the supplier.
• Destroyed in transit – Notify the supplier if tracking indicates the order was damaged in transit.
• Returned to sender (except case: wrong shipping address left on orders) – Once tracking shows the order returned to the supplier, the order will be refunded minus a 15% restocking fee. Original shipping is non-refundable.
• Delivered but not received – The customer is to reach out to the shipping carrier. If a lost claim is filed with the shipping carrier, then the customer would notify the supplier.
• Damaged or broken, stains/minor scratch/poor quality, etc., Not as described (size/color/style), wrong item received, missing item/accessories.
– All sales are final. An RMA will only be accepted if the item is mis-shipped or damaged.
All RMAs will be for a refund. We do not process product(s) exchanges or backorders, exchanges must be placed as a new order. A 15% restocking fee will apply for all refused/returned orders. A return label will be provided if determined damaged/defective/mis-shipped. Additional details, photos, etc. may be requested, please wait until your request is approved before discarding any damaged boxes, packaging, or products.
i) Warranties
GREx is not responsible for any warranties for products purchased through the Services; please refer to the warranty terms and conditions provided by the applicable product manufacturers and their respective agents. All product issues, claims and questions concerning warranties should be submitted directly to the applicable manufacturer and/or, subject to these Terms, the Supplier through use of the tools provided in the Services. AS BETWEEN GREX AND YOU, THE PRODUCTS ARE PROVIDED “AS IS” AND GREX DISCLAIMS ALL WARRANTIES WITH RESPECT THERETO, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
6. TERMINATION & SUSPENSION
These Terms will remain in full force and effect while you use or are registered to use the Services.
GREx reserve the right to delete or change any username or password at any time and for any reason.
GREx may suspend or terminate your Account or your use of the Services at any time, for any reason or for no reason at all without notice. You may terminate these Terms at any time for any reason by giving notice to GREx at info@greenrepexchange.com.
You shall remain liable for all fees that you accrue in connection with your Memberships and the Services, and any orders, charges or other obligations that you incurred prior to termination. You will no longer be able to purchase Memberships, Products and Services through the Site.
Upon termination, GREx reserves the right to delete your user account and all data files related to you or otherwise associated with your use of the Site. Following such termination, you agree not to re-register or otherwise access the Site without GREx prior written approval.
Upon any termination of these Terms by either you or us, the following sections will survive: “Binding Arbitration & Class Action Waiver”, “Privacy”, “Third Party Suppliers”, “Shipping and Handling”, “Returns and Refunds”, “Content”, “Third Party Links”, “Your Conduct”, “Feedback”, “Disclaimer of Warranties”, “Limitation of Liability”, “Indemnity”, “Notices and Questions”, and “Miscellaneous”, together with all other provisions that by their plain meaning are intended to survive.
7. COPYRIGHT AND TRADEMARK
GREx grants you a non-exclusive, non-transferable, limited license to view this Site, and to download and/or print insignificant portions of materials retrieved from this Site provided: (1) it is used only for informational, non-commercial purposes; and (2) you do not remove or obscure the copyright notice or other notices. Except for this grant, no part of this Site may be reproduced, republished, copied, transmitted, downloaded, displayed, posted or distributed in any form or by any means, including, but not limited to, electronic, mechanical, photocopying, recording, or otherwise, without the prior written permission of GREx or the copyright owner. Please understand that the above grant does not include any linked Site.
Unless otherwise noted on this Site, all right, title and interest (including all copyrights, trademarks and other intellectual property rights) in this Site belongs to GREx, one of its affiliates, or to another party that has licensed their material to GREx. The names, images, pictures, logos and icons identifying GREx products and Services are proprietary marks of GREx and/or its subsidiaries or affiliates. Except as expressly provided above, nothing on this Site shall be construed as conferring any license or right under copyright, trademark or other intellectual property rights.
8. INDEMNIFICATION
You hereby agree to indemnify, defend and hold GREx, and all its officers, directors, owners, agents, employees, information providers, affiliates, subsidiaries, licensors and licensees (collectively, the “Indemnified Parties”) harmless from and against any and all claims, proceedings, damages, injuries, liability, losses, costs and expenses (including, without limitation, reasonable attorney’s fees) incurred by the Indemnified Parties in connection with any claim arising out of any breach by you of this Agreement or of the foregoing representations, warranties and covenants, or arising out of or relating to any acts by you or materials or information transmitted by you in connection with the Site, regardless of the type of claim or nature of the cause of action including, without limitation, attorneys fees and costs. You shall cooperate as fully as reasonably required in the defense of any claim. GREx reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you and you shall not in any event settle any matter without the written consent of GREx.

Furthermore, some of this content comes from third parties and unless specifically stated, GREx does not vouch for the correctness of such information.
